MCA Applies Forensic Accounting Expertise for Hospitality Client in Mediation

A chain hotel based in the Southwest was experiencing a dispute between the managing and minority members regarding alleged financial improprieties and business mismanagement. MCA was referred by the mediator to conduct a forensic review of the hospitality company’s financial records to assess their accuracy and investigate potential irregularities; to perform a holistic analysis of their business performance, including a long-term business strategy; and to provide recommendations for alternatives for continued operations, including a possible buyout by minority members, managers, or a third-party sale.
Because the engagement involved an active dispute between managing members and minority members, MCA needed to maintain neutrality while ensuring each party felt appropriately heard. That was accomplished by conducting separate, structured meetings with key stakeholders—managing and minority members, their respective counsel, and key staff—to gather their independent perspectives while gaining a firsthand understanding of business operation.
MCA also held discussions with the client’s CPA to obtain additional context regarding financial reporting, accounting practices, and historical treatment of key transactions. Fragmented and, at times, incomplete financial recordkeeping required a forensic analysis of available records and supporting documentation to validate, reconcile, and interpret underlying data. Similarly, information provided by different parties was not always aligned—a layer of complexity that necessitated triangulating from multiple sources, validating against transactional data, and focusing on objective financial evidence.

The outcome of the engagement was a success: development of a well-reasoned, objective report summarizing MCA’s findings from the forensic financial review, stakeholder interviews, and operational assessment. MCA provided an evidence-based evaluation of the client’s historical financial performance and current operational condition, addressed key areas of dispute among ownership groups, and translated the analysis into practical considerations for future decision-making.
