Merger Integration Planning
MCA Financial Group’s M&A team advises on the implementation of practical measures to fully integrate the operations of a newly acquired entity. Long before a purchase or joint venture transaction has been consummated, a strategic merger integration plan is formulated. We illustrate precisely when and how assets, processes, resources, and people will be assimilated in order to successfully accomplish the strategic objectives of the merger. Our professionals serve as stewards of capital by continuing the client relationship after the deal has closed. This ensures a smooth transition throughout the integration process. Unlike other firms, we will continue to be your resource long after the transaction has closed.
Pre- & Post-Acquisition Integration Planning
Furnish clients with a strategic plan to define goals and benchmarks for all stages of the transaction.
Development of Detailed Synergy Targets
Provide an in-depth analysis of synergy targets and financial goals of the transaction.
Efficient Realization of Synergies
Assist management with the implementation of targeted synergies, on time and on budget.
Process Monitoring & Conflict Resolution
Monitor, coordinate, and supervise the integration progress, resolving any issues that may arise along the way.
Emphasize the “think partner” nature of the client relationship long after the initial close of the transaction, thereby continuing to offer personalized consultation and guidance whenever requested.
Mortgage Servicer & Insurance Recovery Provider
MCA served as financial advisor to a subordinated debt holder as part of a $100 million capital structure, including senior term and revolving debt. MCA advised on restructuring plans and on a spin-off transaction in a successful debt for equity swap. MCA also assisted in post-transaction integration matters.
National Media Publisher
MCA was retained by the lender to this publisher of shopping-related, free newspaper publications with operations in Pennsylvania, New York, Arizona, and Texas. MCA led the acquisition of these options though a restructuring on behalf of the lender. MCA served as Chief Restructuring Officer through a Chapter 11 process in order to effectuate the acquisition. MCA successfully sold the publications over a two year period, providing a full recovery to the lender.
